Terms of Advisory & Service
Welcome to Apparel Circularity (apparelcircularity.com), a specialized trade compliance and supply chain advisory practice led by Zahirul Islam.
By accessing this portal, submitting an executive consultation request, or executing a formal advisory engagement with Apparel Circularity, your organization agrees to comply with and be bound by the following Terms of Service.
1. Scope of Advisory Services
Apparel Circularity provides strategic B2B management consulting, trade compliance auditing systems, and sustainability data architectures tailored for garment manufacturing and exporting enterprises.
- US UFLPA Traceability: Tier-1 to Tier-4 supply chain mapping, cotton mass-balance calculator deployment, yarn balance verification, and customs detention defense dossier compilation.
- EU ESPR & DPP Readiness: Material composition data extraction, PLM/ERP data harmonization, and Digital Product Passport integration frameworks.
- Circular Factory Transition: Cutting floor waste segregation (Jhut) SOPs, material flow tracking, and Design for Recycling (DfR) engineering guidelines.
2. Professional Disclaimer & Limitation of Liability
- Advisory Framework, Not Legal Representation: All advisory deliverables, SOP manuals, custom mass-balance calculators, and defense dossiers provided represent specialized management and technical compliance recommendations. They do not constitute formal legal counsel.
- Government & Customs Discretion: Decisions regarding cargo detentions, release orders, or regulatory penalties rest solely with relevant foreign border authorities (such as US Customs and Border Protection or European Union customs agencies). Apparel Circularity builds audit-ready compliance systems based on statutory guidelines but cannot guarantee third-party government agency determinations.
- Limitation of Liability: Apparel Circularity and Zahirul Islam shall not be held liable for indirect, incidental, punitive, or consequential commercial damages—including shipping delays, supply chain disruptions, buyer cancellations, or border detentions—resulting from third-party regulatory actions or inaccurate data submitted by client organizations.
3. Client Responsibilities & Data Veracity
To achieve audit-grade regulatory defense and valid supply chain mapping, client organizations agree to:
- Veracity of Information: Provide accurate, complete, unaltered, and verifiable supply chain documentation (including invoices, Certificates of Origin, mill logs, ginning certificates, and Bills of Lading).
- Internal Operational Execution: Direct internal factory floor management, commercial teams, and IT staff to strictly implement agreed-upon Standard Operating Procedures (SOPs) and data collection workflows.
4. Intellectual Property & Proprietary Tools
- Advisory Materials: All proprietary SOP templates, mass-balance formulas, customized analytical models, data architecture blueprints, and published whitepapers created by Zahirul Islam remain the sole intellectual property of Apparel Circularity.
- Client License: Clients engaging in paid advisory projects or retainer programs are granted a non-exclusive, non-transferable, internal-use license to deploy these templates, formulas, and tools across their own enterprise facilities. Reselling, sublicensing, publicly publishing, or redistributing these proprietary frameworks to external third parties is strictly prohibited.
5. Payment Terms & Retainers
- Fee Structures: Advisory fees, milestone payments, and retainer schedules are outlined in individual Statements of Work (SOW) or retainer contracts.
- Payment Invoices: Invoices are payable within fourteen (14) business days of issuance unless specified otherwise in the executed contract.
- Advance Retainers: Initial diagnostic fees and setup retainers are non-refundable once technical work or facility data audits have commenced.
6. Service Termination & Suspension
- Termination for Convenience: Either party may terminate an active engagement by providing fourteen (14) days written notice to the executive contact.
- Immediate Suspension for Non-Compliance: Apparel Circularity reserves the right to immediately suspend or terminate advisory services if a client provides falsified sourcing documentation, engages in intentional compliance evasion, or defaults on scheduled payment terms.
7. Force Majeure & Regulatory Shifts
Apparel Circularity shall not be held responsible for delays or service failure resulting from events beyond reasonable control, including sudden international trade embargoes, geopolitical conflict, major legislative shifts in import/export laws, cyber infrastructure disruptions, or natural disasters.
8. Engagement Terms & NDA Integration
- Formal Contracts: Project deliverables, execution timelines, fee structures, and customized retainer terms are formalized in bilateral Service Agreements or Statements of Work (SOW) executed prior to engagement initiation.
- Precedence of Executed NDA: In the event of any conflict or ambiguity between these general website terms and a mutually signed Non-Disclosure Agreement (NDA) or SOW, the provisions of the executed agreement shall take complete precedence.
9. Governing Law & Dispute Resolution
These Terms of Service and any advisory disputes arising from them shall be governed by and construed in accordance with the laws of Bangladesh. Any dispute or claim that cannot be settled amicably through executive consultation shall be referred to and final resolved through confidential arbitration in Dhaka, Bangladesh.
